Welcome to Aurora.ph (the “Website”), operated by CyberConcepts, Inc. (“Aurora.ph,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our Website, including any content, functionality, and services offered on or through Aurora.ph (collectively, the “Services”).

Please read these Terms carefully before you start to use the Services. By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (which is incorporated herein by reference). If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Service (“Users,” “you,” or “your”).

1. AGREEMENT TO TERMS

By using our Services, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, do not use the Services. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have and continue to have the authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.

2. USE OF SERVICES

Aurora.ph grants you a personal, non-transferable, non-exclusive, revocable, limited license to use and access the Services solely as permitted by these Terms. We reserve all rights not expressly granted to you by these Terms.

• Eligibility: You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant to us that you are at least 18 years old.
• Account Registration: To access certain features of the Website, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
• Service Availability: We will use reasonable efforts to ensure that the Services are available at all times. However, we cannot guarantee that the Services will be uninterrupted or error-free. We reserve the right to suspend, withdraw, or amend the Services without notice for business and operational reasons.

3. PROHIBITED ACTIVITIES

You are solely responsible for your conduct and any data, text, files, information, photos, images, videos and other content that you submit, post, and display on the Services. You agree not to use the Services for any purpose that is illegal or prohibited by these Terms, or any other purpose not reasonably intended by Aurora.ph. As a condition of your use of the Services, you warrant to Aurora.ph that you will not use the Services for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Use the Services in any way that violates any applicable national or international law or regulation, including the laws of the Republic of the Philippines.
• Use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• Transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation. Should you wish to list, sell or advertise any business, service, asset or property, please sign up for a business/advertiser account at our business portal.
• Impersonate or attempt to impersonate Aurora.ph, an Aurora.ph employee, another user, or any other person or entity.
• Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Aurora.ph or users of the Services or expose them to liability.
• Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Services.
• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
• Use any manual process to monitor or copy any of the material on the Services or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Services.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
• Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
• Post or transmit any content that is false, inaccurate, misleading, defamatory, libelous, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable.
• Post or transmit any content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, national or international law.
• Post or transmit any content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party.

4. PRIVACY POLICY AND DISCLOSURES

Our Privacy Policy, describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information for storage, processing, and use by Aurora.ph and its affiliates.

We reserve the right to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request.

5. USER CONTENT AND LICENSE GRANT

You may be able to submit, post, upload, publish, or transmit content and materials, including but not limited to reviews, comments, sketches, documents, photos, videos, forum posts, itinerary details and other information (“User Content”) on or through the Services.

• Responsibility for User Content: You are solely responsible for your User Content and the consequences of posting or publishing it. By posting or publishing User Content, you represent and warrant that:
  • You are the creator and owner of, or have the necessary licenses, rights, consents, and permissions to use and to authorize Aurora.ph and our users to use your User Content as necessary to exercise the licenses granted by you in these Terms.
  • Your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Aurora.ph to violate any law or regulation.
• License Grant to Aurora.ph: By making any User Content available through the Services, you hereby grant to Aurora.ph a non-exclusive, transferable, sublicensable, worldwide, royalty-free, perpetual, irrevocable license to use, copy, modify, enhance, create derivative works based upon, distribute, publicly display, publicly perform, and otherwise exploit your User Content in connection with operating and providing the Services and for Aurora.ph’s (and its successors’ and affiliates’) business, including for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.
• License Grant to Other Users: You also grant to other users of the Services a non-exclusive license to access your User Content through the Services, and to use, reproduce, distribute, display, and perform such User Content as permitted through the functionality of the Services and under these Terms.
• No Obligation to Post: We are under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Aurora.ph may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable.
• Continued Use of Products and Services: From time to time, Aurora.ph may decide to change, update or discontinue certain features of the Website. Aurora.ph is under no obligation to store or maintain any content or information you provide such as photos, videos, sketches, documents, comments, reviews, personal or business information and others.

6. BOOKING WITH THIRD-PARTY SUPPLIERS

Aurora.ph may provide links to or allow you to book travel services (e.g., hotels, flights, tours, activities) with third-party suppliers (“Suppliers”). Aurora.ph is not a travel agency and does not provide or own transportation services, accommodations, tours, or other travel experiences. Although Aurora.ph displays information about properties owned by third-party suppliers and facilitates reservations with certain suppliers on or through the Aurora.ph website, such actions do not in any way imply, suggest, or constitute Aurora.ph’s sponsorship or approval of third-party suppliers, or any affiliation between Aurora.ph and third-party suppliers.

• Your Responsibility: Your interaction with any Supplier accessed through the Services is at your own risk, and Aurora.ph will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches, or negligence of any such Suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with the Suppliers.
• Terms of Suppliers: All bookings are made directly with the Supplier. The terms and conditions of the Supplier (including their cancellation policies, rules, and restrictions) will apply to your booking. You are responsible for reading and understanding the Supplier’s terms and conditions before making a booking.
• Disputes: Any disputes or issues with the services provided by a Supplier must be resolved directly with the Supplier. Aurora.ph is not responsible for resolving any disputes between you and any Supplier.

7. PROPERTY AND ASSET BROKERAGE SERVICES

Aurora.ph may act as a venue to allow users to offer, sell, and rent real property and other assets such as vehicles, furniture, and equipment. We are not a party to the actual transaction between buyers and sellers or renters and landlords.

For Buyers and Renters (“Inquirers”)

• Due Diligence: You are responsible for conducting your own due diligence before entering into any transaction. Aurora.ph does not inspect, verify, or endorse any listed asset or the accuracy of any listing. We strongly recommend seeking independent legal and financial advice.
• No Warranty: All assets are listed “as is.” Aurora.ph makes no representations or warranties regarding the condition, legality, or value of any asset listed on the platform.
• Making an Offer: An inquiry or expression of interest does not create a binding contract. A transaction is only complete upon the execution of a formal, legally binding agreement between you and the Lister.

8. LIABILITY DISCLAIMER

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS AURORA.PH’S LIABILITY TO YOU FOR ISSUES THAT MAY ARISE IN CONNECTION WITH YOUR USE OF THE SERVICES.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PUBLISHED ON OR OTHERWISE PROVIDED VIA THE SERVICES MAY INCLUDE INACCURACIES OR ERRORS, INCLUDING RESERVATION AVAILABILITY AND PRICING ERRORS. AURORA.PH DOES NOT GUARANTEE THE ACCURACY OF, AND DISCLAIMS ALL LIABILITY FOR, ANY ERRORS OR OTHER INACCURACIES RELATING TO THE INFORMATION AND DESCRIPTION OF THE ACCOMMODATION, FLIGHTS, CRUISES, TOURS, ACTIVITIES OR ANY OTHER TRAVEL PRODUCTS DISPLAYED ON THE SERVICES (INCLUDING, WITHOUT LIMITATION, THE PRICING, AVAILABILITY, PHOTOGRAPHS, LIST OF HOTEL AMENITIES, GENERAL PRODUCT DESCRIPTIONS, REVIEWS AND RATINGS, ETC.). AURORA.PH EXPRESSLY RESERVES THE RIGHT TO CORRECT ANY AVAILABILITY AND PRICING ERRORS ON OUR SERVICES AND/OR ON PENDING RESERVATIONS MADE UNDER AN INCORRECT PRICE.

AURORA.PH MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES CONTAINED ON OR OTHERWISE PROVIDED VIA THIS WEBSITE FOR ANY PURPOSE, AND THE INCLUSION OR OFFERING OF ANY PRODUCTS OR SERVICES ON THIS WEBSITE DOES NOT CONSTITUTE ANY ENDORSEMENT OR RECOMMENDATION OF SUCH PRODUCTS OR SERVICES BY AURORA.PH. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. AURORA.PH HAS NO LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, STRIKE, FORCE MAJEURE, OR OTHER CAUSES BEYOND THEIR DIRECT CONTROL, AND THEY HAVE NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, RE-ROUTING OR ACTS OF ANY GOVERNMENT OR AUTHORITY.

If, despite the limitation above, Aurora.ph is found liable for any loss or damage which arises out of or in any way connected with any of the occurrences described above, then the liability of Aurora.ph will in no event exceed, in the aggregate, One Thousand Philippine Pesos (PHP 1,000.00) or the amount you paid to Aurora.ph, if any, in the past three months for the services giving rise to the claim, whichever is lower.

The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these terms is found to have failed of its essential purpose.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Aurora.ph, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, volunteers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Service’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.

10. SOFTWARE AVAILABLE ON THIS WEBSITE

Any software that Aurora.ph makes available to download from the Services (“Software”) or through your mobile application store, including a future Aurora.ph mobile application (the “Mobile Application”), is the copyrighted work of Aurora.ph or its affiliates, or identified third-party software. Your use of such Software is governed by the terms of the end-user license agreement, if any, which accompanies, or is included with, the Software (“License Agreement”). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. For any Software made available for download on this Website not accompanied by a License Agreement, we hereby grant to you, the user, a limited, personal, non-exclusive, non-transferable license to download, install and use the Software and/or the Mobile Application for viewing and otherwise using this Website and/or accessing the content and information available within the Mobile Application in accordance with these Terms and for no other purpose.

Please note that all Software, including, without limitation, all HTML, XML, AI, Java code and Active X controls contained on this Website, is owned by Aurora.ph or its affiliates and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited and may result in severe civil and criminal penalties.

12. JURISDICTION AND GOVERNING LAW

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the Republic of the Philippines, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or the Services shall be filed only in the proper courts of Taguig City, Philippines, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action, or proceeding arising out of these Terms.

13. MODIFICATIONS AND UPDATES TO THE TERMS AND CONDITIONS AGREEMENT

Aurora.ph reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least three (3) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services. It is your responsibility to check this page periodically for changes.

14. GENERAL PROVISIONS

• Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Aurora.ph on the Services, shall constitute the entire agreement between you and Aurora.ph concerning the Services.
• Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
• No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Aurora.ph’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Aurora.ph without restriction.
• Force Majeure: Aurora.ph shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Aurora.ph’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
