Business & Advertiser Terms and Conditions

Welcome to Aurora.ph for Businesses and Advertisers. These Terms and Conditions (“Business Terms”) govern your access to and use of Aurora.ph’s services, tools, and platforms specifically designed for businesses, property owners, advertisers, and other commercial entities (collectively, “Business Services”). These Business Services are owned and operated by CyberConcepts, Inc. (“Aurora.ph,” “we,” “us,” or “our”).
Please read these Business Terms carefully. By accessing, registering for, or using any Business Services, you, on behalf of your business entity (“Business,” “Advertiser,” “you,” or “your”), acknowledge that you have read, understood, and agree to be bound by these Business Terms and our general Aurora.ph Privacy Policy and incorporated herein by reference). If you do not agree to these Business Terms or the Privacy Policy, you must not access or use the Business Services.
These Business Terms are in addition to the general Aurora.ph Terms and Conditions applicable to all users, available at General User T&C. In the event of any conflict between these Business Terms and the general Aurora.ph Terms and Conditions with respect to your use of Business Services, these Business Terms shall prevail.
1. AGREEMENT TO BUSINESS TERMS
By using our Business Services, you represent and warrant that you have the legal authority to bind your Business to these Business Terms. If you do not have such authority or if you do not agree with these Business Terms, you must not accept this agreement and may not use the Business Services.
2. BUSINESS SERVICES
Aurora.ph offers various Business Services, which may include, but are not limited to:
- Listing your business, property, asset or service on Aurora.ph.
- Managing your business listing, including responding to user reviews and updating information.
- Accessing analytics and performance data related to your listing as and when available.
- Purchasing and managing advertising campaigns on Aurora.ph.
- Utilizing booking tools or widgets provided by Aurora.ph.
- Accessing other tools and resources specifically for businesses and advertisers.
Aurora.ph grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Business Services in accordance with these Business Terms and any applicable service-specific terms or ordering documents.
Aurora.ph reserves the right to determine the placement and positioning of advertisements and to reject or remove any advertisement for any reason.
- Account Registration: To use most Business Services, you will need to create a business account. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated. You are responsible for maintaining the confidentiality of your business account credentials and for all activities that occur under your account. You agree to notify Aurora.ph immediately of any unauthorized use of your account.
- Verification: Aurora.ph may require you to verify your identity, your affiliation with the listed business, or other information before granting access to certain Business Services. You agree to cooperate with such verification requests.
- Service Availability and Modifications: We will use reasonable efforts to ensure Business Services are available. However, Aurora.ph reserves the right to modify, suspend, or discontinue any aspect of the Business Services at any time, with or without notice, for any reason, including for business and operational reasons.
3. USE OF BUSINESS SERVICES & RESPONSIBILITIES
You agree to use the Business Services solely for legitimate business purposes related to your products, services, assets, or properties, and in compliance with all applicable laws and regulations of the Republic of the Philippines.
- Content Provided and Displayed: You are solely responsible for all information, data, text, images, videos, advertisements, listings, and other materials that you or your representatives submit, post, display, or transmit in connection with the Business Services. Likewise, once your business account is registered, you are responsible for retaining and amending any existing information, images, content, posted and displayed on your establishment page (collectively “Business Content”). This includes, but is not limited to, listing details, pricing, availability, promotional offers, and responses to user reviews.
- You represent and warrant that your Business Content is accurate, truthful, complete, not misleading, and comply with all applicable laws and regulations.
- You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to use and to authorize Aurora.ph to use your Business Content as contemplated by these Business Terms and the functionalities of the Business Services.
- Your Business Content must not infringe upon any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
- Your Business Content must comply with all applicable advertising standards, laws, and regulations, including those related to endorsements and testimonials.
- Representations to Users: All representations, offers, and services provided by you to Aurora.ph users (whether through your listing, advertisements, or direct communications) are your sole responsibility. You agree to honor all commitments made to users.
- Compliance with Laws: You are responsible for ensuring that your business operations, your Business Content, and your use of the Business Services comply with all applicable laws, regulations, and industry codes in the Philippines and any other jurisdiction where your services may be offered or consumed. This includes, but is not limited to, laws related to consumer protection, data privacy, advertising, licensing, and health and safety.
4. PROHIBITED ACTIVITIES FOR BUSINESSES AND ADVERTISERS
In addition to the prohibited activities outlined in the general Aurora.ph Terms and Conditions, you agree not to, and not to authorize or encourage any third party to:
- Submit or promote any Business Content that is false, deceptive, misleading, fraudulent, or illegal.
- Manipulate user reviews or ratings, including but not limited to posting fake reviews, incentivizing positive reviews in a non-transparent manner, or attempting to suppress negative reviews unfairly.
- Use the Business Services to collect personal information from users in a manner that violates our Privacy Policy or applicable data protection laws.
- Engage in any discriminatory practices in your listings, advertisements, or service offerings.
- Infringe upon the intellectual property rights of Aurora.ph or any third party.
- Create listings for businesses, tourist attractions, assets or properties that you do not own or are not authorized to represent.
- Use the Business Services to promote or facilitate illegal activities, products, or services.
- Misrepresent your affiliation with Aurora.ph.
- Engage in “bait and switch” advertising or other deceptive marketing practices.
- Violate any specific advertising guidelines or policies provided by Aurora.ph.
- Use any automated means (e.g., robots, spiders) to access or manage your Business Services account or to scrape content from Aurora.ph, except as expressly permitted by Aurora.ph in writing.
- Resell or attempt to resell any Aurora.ph Business Services without our express written permission.
- Upload or post any booking engine or reservation system or referral link to such third-party booking or reservation system as well as any third-party application of any kind.
- Upload or post any bots, cookies, viruses or cause for such bots, cookies and viruses to be uploaded, for which we reserve the right to impose penalties and charge damages, including criminal punishment to the full extent of the law.
Aurora.ph reserves the right to investigate and take appropriate action, including removing Business Content, suspending or terminating your access to Business Services, and/or reporting you to law enforcement authorities, for any violation of these Business Terms.
5. PRIVACY POLICY AND DATA USE
Our general Aurora.ph Privacy Policy describes how we collect, use, and disclose personal information. By using the Business Services, you agree to our collection, use, and disclosure of information as described therein.
- User Data: To the extent you receive or access any personal data of Aurora.ph users through the Business Services (e.g., through booking inquiries or review interactions), you agree to:
- Handle such data in compliance with all applicable data privacy laws of the Republic of the Philippines (including the Data Privacy Act of 2012 and its implementing rules and regulations) and your own privacy policy.
- Use such data only for the purpose for which it was provided or made available to you.
- Implement appropriate security measures to protect such data from unauthorized access, use, or disclosure.
- Not sell or transfer such user data to third parties without the user’s explicit consent, unless required by law.
- Aggregated Data: You acknowledge and agree that Aurora.ph may collect, use, and disclose aggregated and anonymized data derived from your use of the Business Services and your Business Content for its own business purposes, including analytics, reporting, and service improvement.
6. LICENSE GRANT
- License to Aurora.ph: By submitting Business Content to or through the Business Services, you grant Aurora.ph and its related parties a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, enhance, adapt, publish, translate, create derivative works from, distribute, perform, and display such Business Content in connection with operating, providing, and promoting the Aurora.ph Services (including Business Services) and Aurora.ph’s business, in any and all media or distribution methods now known or later developed. This license includes the right for Aurora.ph to make your Business Content available to other companies, organizations, or individuals who partner with Aurora.ph for the syndication, broadcast, distribution, or publication of such content on other media and services.
- License to You: Subject to your compliance with these Business Terms, Aurora.ph grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use any tools, widgets, or other software provided by Aurora.ph as part of the Business Services, solely for your internal business purposes to manage your presence on Aurora.ph.
7. FEES AND PAYMENT (If Applicable)
Certain Business Services may be provided for a fee. If you elect to use paid Business Services, you agree to the pricing, payment, and billing terms applicable to those services, which will be communicated to you at the time of purchase or in a separate agreement. You agree to pay all fees and charges associated with your advertising campaigns as agreed upon.
- All fees are quoted in Philippine Pesos (PHP) unless otherwise specified.
- You are responsible for paying all applicable taxes.
- Aurora.ph may use third-party payment processors. The processing of payments will be subject to the terms, conditions, and privacy policies of such payment processors.
- Failure to pay fees may result in the suspension or termination of your access to paid Business Services.
- All fees are non-refundable except as expressly stated otherwise by Aurora.ph in writing or as required by applicable law.
8. INTERACTION WITH USERS AND THIRD-PARTY SUPPLIERS
While Aurora.ph provides a platform for you to connect with users and potentially list services that may involve third-party suppliers (e.g., if you are a tour operator using other local guides), your relationship and responsibilities are as follows:
- Direct Relationship with Users: You acknowledge that your provision of goods or services to Aurora.ph users creates a direct relationship between you and the user. Aurora.ph is not a party to such transactions or interactions, except as a platform provider. You are solely responsible for all aspects of your service delivery, customer service, and dispute resolution with users.
- Third-Party Suppliers (if you act as an intermediary): If your business model involves booking or arranging services with other third-party suppliers on behalf of users, you are responsible for your relationships with those suppliers and for ensuring they meet the standards you advertise. The terms in Section 6 (Booking with Third-Party Suppliers) of the general Aurora.ph Terms and Conditions apply mutatis mutandis to users booking with you, and you bear similar responsibilities towards users as Aurora.ph outlines for itself regarding direct Suppliers.
9. Property and Asset Brokerage Services
Aurora.ph may act as a venue to allow advertisers to list, offer, sell, and rent real property and other assets such as vehicles, furniture, and equipment. We are not a party to the actual transaction between buyers and sellers or renters and landlords.
- Legal Ownership: You must be the legal owner or have the explicit legal authority to list the asset for sale or rent. You may be required to provide proof of ownership and/or authority.
- Listing Accuracy: You are solely responsible for the accuracy, completeness, and legality of your listings. All information, including photos, videos, sketches and other images, descriptions, price, and condition, must be truthful and not misleading.
- Compliance: You agree that your listing and any subsequent transaction will comply with all applicable laws in the Philippines, including but not limited to those related to real estate brokerage, taxation, and consumer protection.
- Fees and Commissions: Listing an asset or completing a transaction through our Services may be subject to fees or commissions, which will be disclosed to you prior to listing. You agree to pay all applicable fees.
10. LIABILITY DISCLAIMER
THIS SECTION IS CRITICAL AND LIMITS AURORA.PH’S LIABILITY TO YOUR BUSINESS.
THE BUSINESS SERVICES, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS, AI TOOLS AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE BUSINESS SERVICES, ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMISSIBLE BY LAW. AURORA.PH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER FOR THE BUSINESS SERVICES OR THE CONTENT, MATERIALS, INFORMATION, AND FUNCTIONS MADE ACCESSIBLE BY THE SOFTWARE USED ON OR ACCESSED THROUGH THE BUSINESS SERVICES, FOR ANY PRODUCTS OR SERVICES OR HYPERTEXT LINKS TO THIRD PARTIES, OR FOR ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE BUSINESS SERVICES OR ANY LINKED SITE.
AURORA.PH DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE BUSINESS SERVICES OR ANY MATERIALS OR CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE BUSINESS SERVICES OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AURORA.PH SHALL NOT BE LIABLE FOR THE USE OF THE BUSINESS SERVICES, INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN PROVIDED BY THIRD PARTIES. IN NO EVENT WILL AURORA.PH BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, COSTS OF COVER, OR BUSINESS INTERRUPTION), EVEN IF AURORA.PH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE BUSINESS TERMS, AURORA.PH IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE BUSINESS SERVICES OR ANY CONTENT, AURORA.PH’S LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF (I) THE TOTAL OF ANY SUBSCRIPTION OR SIMILAR FEES WITH RESPECT TO ANY FEATURE OR SERVICE PAID BY YOU TO AURORA.PH IN THE SIX MONTHS PRIOR TO THE DATE OF THE INITIAL CLAIM MADE AGAINST AURORA.PH, OR (II) ONE THOUSAND PHILIPPINE PESOS (PHP 1,000.00).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Aurora.ph, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, volunteers, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees and costs) arising out of or relating to:
- Your Business Content.
- Your use of the Business Services in violation of these Business Terms or applicable law.
- Your products, services, or business operations.
- Your interactions with Aurora.ph users.
- Your violation of any rights of a third party, including any intellectual property rights or privacy rights.
- Any claims made by third parties (including users) relating to your goods, services, or advertisements.
12. SOFTWARE SERVICES
Any software provided by Aurora.ph as part of the Business Services (“Business Software”) is the copyrighted work of Aurora.ph or its licensors. Your use of Business Software is governed by these Business Terms and any additional license agreement that may accompany the Business Software. You agree not to copy, modify, distribute, sell, or lease any part of our Business Software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
13. COPYRIGHT AND TRADEMARK NOTICES
All contents of the Aurora.ph website and Business Services are: © 2025 Aurora.ph / CyberConcepts, Inc. All rights reserved. Aurora.ph, the Aurora.ph logo, and all related names, logos, product and service names, designs, and slogans are service marks of Aurora.ph or its affiliates or licensors. You must not use such marks without the prior written permission of Aurora.ph. All other names, logos, product and service names, designs, and slogans on the Business Services are the trademarks of their respective owners.
14. JURISDICTION AND GOVERNING LAW
These Business Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Business Terms or the Business Services shall be instituted exclusively in the proper courts of Taguig City, Philippines. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
15. MODIFICATIONS AND UPDATES TO THE BUSINESS TERMS
Aurora.ph reserves the right, at its sole discretion, to modify or replace these Business Terms at any time. If a revision is material, we will use reasonable efforts to provide at least three (3) days’ notice prior to any new terms taking effect, which may include posting a notice on the Business Services platform or sending an email to the address associated with your business account. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Business Services after any revisions become effective, you agree to be bound by the revised Business Terms. If you do not agree to the new terms, you must stop using the Business Services. It is your responsibility to review these Business Terms periodically for changes.
16. TERMINATION
- Termination by You: You may terminate your business account and cease using the Business Services at any time by following the account closure procedures provided by Aurora.ph.
- Termination by Aurora.ph: Aurora.ph may, in its sole discretion, suspend or terminate your access to all or part of the Business Services, with or without notice, for any reason, including, without limitation, if Aurora.ph believes that you have violated or acted inconsistently with the letter or spirit of these Business Terms or any other applicable terms or policies, or if your conduct is otherwise harmful to Aurora.ph, its users, or other businesses.
- Effect of Termination: Upon termination, your right to use the Business Services will immediately cease. Provisions of these Business Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. GENERAL PROVISIONS
- Entire Agreement: These Business Terms, together with the Aurora.ph Privacy Policy, any applicable ordering documents or service-specific terms, and the general Aurora.ph Terms and Conditions (to the extent not conflicting), constitute the entire agreement between you and Aurora.ph regarding your use of the Business Services.
- Severability: If any provision of these Business Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Business Terms will continue in full force and effect.
- No Waiver: No waiver by Aurora.ph of any term or condition set forth in these Business Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Aurora.ph to assert a right or provision under these Business Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Business Terms or your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without Aurora.ph’s prior written consent. Any attempt by you to assign or transfer these Business Terms, without such consent, will be null and of no effect. Aurora.ph may assign or transfer these Business Terms, at its sole discretion, without restriction.
- Notices: Aurora.ph may provide you with notices, including those regarding changes to these Business Terms, by email, regular mail, or postings on Aurora.ph and/or on the Business Services platform.
- Relationship of the Parties: Nothing in these Business Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Aurora.ph.
